General information

These sales terms are understood to be known to the purchaser. All orders imply acceptance of these terms by the purchaser. For this reason, no contradictory clause may be proposed unless it has been formally accepted by us in writing.

Prices and payment terms

Prices are quoted ex-works with VAT ( Value Added Tax ) included. They do not include packaging, which will be invoiced in addition and will not be taken back. Our goods are delivered EX WORKS, transport costs at the customer’s expense. Our invoices are payable on ordering.

Delivery times

Delivery times are understood to start from the despatch of the acknowledgement of receipt of the order. These times are given for information only, without commitment. In consequence, a delay cannot be held to justify cancellation of the order, nor to give rise to damages or penalties.

Delivery Transport

Whatever the destination of the goods and the sales terms and conditions, delivery is considered to have been made from the moment the goods leave our warehouse and are handed over to the carrier. Transfer of risks and responsibility for the goods sold takes place with this handover, even in the case of a carriage-paid delivery. The goods will only be insured on the express instructions and at the expense of the purchaser. It is clearly the purchaser’s responsibility to carry out all checks and make any reservations when the goods arrive and to make any necessary claims against the carrier within the regulatory time limit. Some of our goods are perishable at temperatures below + 5 ° C and above + 40 ° C.

Retention of title

SOGECI remains the sole owner of the goods delivered until complete payment of the sum invoiced. Until this date the goods delivered will be considered to be on deposit and the purchaser will be liable for any damage to or caused by these goods for any reason Retention of the title.

Technical information

The characteristics of our products mentioned in our documentation are given for information only. We reserve the right to make any changes we may consider appropriate even after receipt of the order, without however affecting the essential characteristics.

The purchaser agrees to check that the products comply with the laws in force in his territory. SOGECI shall not be held liable should the above obligations not be complied with.

Jurisdiction

For all conflicts resulting from this agreement or its consequences, the Commercial Court of Strasbourg - France shall be the only jurisdiction recognised and accepted by both parties.
